Purchase or Sale of Business

 

We are Chartered Professional Accountants (CPA, CA`s) who provide tax, business and consultation services to clients who are about to purchase  or sell a business.  Purchasing or selling a business can be an exciting, albeit daunting task.  People who purchase or sell businesses experience many unwanted surprises after the transaction has completed as they did not complete appropriate due diligence procedures or receive competent professional advice prior and during the transaction.

PURCHASING A BUSINESS?

We perform a 4 stage process respecting the purchase of a business, as follows:

Stage 1 – Pre Screening

We review overview financial and other information to determine if the prospective business meets the objectives of the purchaser from a global perspective.  If this stage is met with success, we proceed to stage 2.

Stage 2 – Detailed Screening

We review further detailed financial information and prepare a list of additional information we require to formulate recommendations to our client, the purchaser.  We may be able to finalize various recommendations to our client at this stage and provide insight as to opportunities and areas of concern.  Should this stage be met with success, we proceed to Stage 3.

Stage 3 – Final Screening and Recommendations

We perform final screening and potential testing of various information and prepare firm recommendations and identify further areas of concern to our client.

At the conclusion of this stage, our client has the appropriate and relevant information to make an informed decision as to whether or not to purchase the business and has tools for negotiating the final terms of the purchase.  Furthermore, he/she is aware of the opportunities, risks and other relevant factors that a prudent purchaser will need to finalize the deal.  If this stage is concluded with success, we proceed to Stage 4.

Stage 4 – Finalizing the Purchase

We provide advice on the form of the transaction itself and the tax and business effects of the transaction.  In many instances, we assist our clients by liaising with the seller on our client’s behalf, which often strengthens the purchasers negotiating power.  We also provide commentary on the purchase and sale agreements so as to protect our clients from unforeseen adverse effects.

We assist our clients in preparing a business for sale and providing the information and advice required to successfully sell their business in a tax advantaged manner.

We assist our clients in dealing with the due diligence procedures which a potential purchaser may desire to perform.

We also act on our client’s behalf (the seller) in dealing with the potential purchasers.

In finalizing the transaction, we advise our clients and their lawyers on appropriate courses of actions to ensure our clients are protected from unwanted risks and have minimized any taxes owing resultant from the deal.
